These Terms of Use (“Terms”, “Terms of Use”) govern your relationship with the Free Decentralised Autonomous Organisation Foundation (“FreeDAO Foundation”). The FreeDAO Foundation, together with the agents working on its behalf (“Affiliates”), and its independent contractors providing services, including, but not limited to, software development, marketing and liquidity facilitation (“Independent Contractors”), are collectively herinafter referred to as (“FreeDAO,” “we”, “us”, “our”).

These Terms govern your access to and use of current and future online, web and mobile websites, services, applications, content, and functionality provided by FreeDAO including without limitation, freedao.io, freeos.io, app.freeos.io (“freeos dApp”) (collectively, the "Services").

Please read the Terms of Use carefully before using our Services. By using our Services, you (“Participant”, “you”, “your”) indicate that you accept these Terms and agree to abide by them. These terms, together with the privacy policy at the end of this document (“Privacy Policy”), constitute the entire agreement (“Agreement”) between you and the FreeDAO Foundation, acting as the legal representative of the FreeDAO.

If you disagree with any part of these Terms, you must not access or use the Services.

Specification of Services - The Freeos AirClaim dApp and Freeos Governance dApp

FreeDAO is creating decentralized tools for collaboration and freedom. Our vision is to create a new, equitable financial system. Our mission is to develop a Self-Governed Co-operative Income (“Freeos”) by which Participants vote and in return are allowed to claim points (“Points”). The Participants are permitted to convert their Points into FREEOS tokens (“FREEOS”) or FREEBY tokens (“FREEBY”) at their discretion.

For clarity, Freeos is the software that FreeDAO has deployed on the blockchain. We intend to achieve voting, issuance, distribution and governance of Freeos through smart contracts coded and deployed to the Internet Computer, a decentralized platform operating on top of the Proton Blockchain. The Internet Computer or the Proton Blockchain are independent blockchain projects with which FreeDAO is not affiliated.

FreeDAO has created the Freeos AirClaim dApp and the Freeos Governance dApp; they are designed to enable participants to claim Points. The AirClaim dApp enables Participants to convert Points to FREEOS. The use of the AirClaim dApp and Freeos Governance dApp is free of charge. No funds or other form of payment is required in exchange for claiming Points. Participants may be required to stake xUSDC and/or hold Points and/or FREEOS. The dApp is coded to notify you of such requirements prior to your transaction.

When converting Points to FREEBY and FREEOS, you are solely responsible for executing the transaction properly, including the sufficient payment of mint fees. Insufficient information and/or insufficient mint fees may cause a delay, even loss, in the conversion process. We make no representation that FREEOS or FREEBY will have any value during the AirClaim or at any time in the future and FreeDAO will be not liable for any claim for redemption.

In order to maintain the standards of an equitable system, we enforce a one-participant one-account policy, only registered and verified Participants may sign in and use our Services.

Providing false information of any kind may result in the termination of access to the Services. Furthermore, we may suspend or disable your account if we determine that you have violated any provision of this Agreement.

FreeDAO does not have access to your blockchain account. Information relating to transactions on your account is stored on the blockchain. FreeDAO cannot modify or amend this information.

Your Keys Your Responsibility

You are solely responsible for the protection and backup of your private keys to your blockchain and other access data. Furthermore, all on-chain transactions on the blockchain are transparent and immutable. FreeDAO shall not be liable or responsible in the event of the incorrect use of a blockchain, loss of funds, loss of privacy, loss of private keys, or damages incurred by unauthorized use of your account.

Security

BY REGISTERING YOUR BLOCKCHAIN ACCOUNT IN ANY CURRENT OR FUTURE SERVICE (INCLUDING THE FREEOS DAPP), YOU AGREE THAT YOU ARE RESPONSIBLE FOR MAINTAINING THE SECURITY OF YOUR ACCOUNT AND YOU ARE FULLY RESPONSIBLE FOR ALL ACTIVITIES THAT OCCUR UNDER THE ACCOUNT AND ANY OTHER ACTION TAKEN IN CONNECTION WITH IT.

Eligibility, Tax Compliance, Age, and Geographical Limitations

If you access the Services, you do so on your own initiative and make sure you are compliant with any applicable laws and regulations. If not, you may not use the Services. The claiming of Points may be a taxable event in certain jurisdictions. The minting of FREEBY and FREEOS tokens may be taxable events in certain jurisdictions. It is your responsibility to comply with any applicable tax regulations.

FreeDAO may block, terminate or suspend your ability to use or access the Services, in whole or in part, at any time without notice, and FreeDAO, may at any time at its sole discretion interrupt or close the Services.

No Contractual Relationship and Rights

Participants understand and accept that Points, or FREEOS, FREEBY and any future tokens do not represent or constitute any ownership rights, stakeholder interests, shareholders rights or any equivalent rights, including, but not limited to, participation and governance rights in FreeDAO, nor any rights to receive future revenues, shares, tokens, participation and governance rights, or equivalent rights in FreeDAO.

FreeDAO does not undertake to make all of the Services available to Participants at all times. Participants understand that the launch of the current and future services and dApps may be gradual, partial, and limited in scope, jurisdiction or otherwise.

Privacy

In order to operate and provide the Services, we collect certain information about you. We use and protect that information as described in our Privacy Policy. You acknowledge and agree that your use of the Services is subject to our Privacy Policy and understand that it identifies how FreeDAO collects, stores, processes and uses certain information.

Restriction on Use

You may use the Services only for lawful purposes and in accordance with these Terms and the Privacy Policy.

You shall not use the Services in any way that infringes upon the rights of FreeDAO or the rights of others.

You shall not advertise or perform commercial solicitation, including, but not limited to, the solicitation of users to become subscribers to other services.

Content

You understand that any and all content available on the Services is made available for informational purposes only and should not be contractual or binding in any way for FreeDAO. No information published on the Services constitutes professional or legal advice, a solicitation, an offer, or a recommendation to effect any transactions, or to conclude any legal act of any kind whatsoever.

The Services may include content provided by third parties, including information provided by other users, bloggers, third-party licensors and reporting services. All statements and opinions expressed in these materials, and all articles and responses to questions and other content, other than the information provided by FreeDAO, are solely the opinions and the responsibility of the person or entity providing those materials. Such materials do not necessarily reflect the opinion of FreeDAO. We are not responsible, or liable to you or any third party, for the content or accuracy of any materials provided by any third parties.

Any reliance you place on any information or content on the Services is strictly at your own risk. Please seek the advice of professionals, as appropriate, regarding the evaluation of any specific information, opinion, advice or other content.

Intellectual Property Rights

We are the owner or the licensee of all intellectual property used to provide our Services, and in the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.

Access to the Services does not authorize anyone to use any name, logo or mark in any manner whatsoever without the prior written permission of FreeDAO.

Reservation of Rights

The Services may not be available in all territories and jurisdictions. We may restrict or prohibit use of all or a portion of the Services in certain territories and jurisdictions.

Disclaimer of Warranties

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR ACCESS TO AND USE OF THE SERVICES IS AT YOUR OWN RISK.

FREEDAO:

(A) PROVIDES THE SERVICES "AS IS", "WITH ALL FAULTS" AND "AS AVAILABLE",

(B) MAKES NO REPRESENTATIONS OR WARRANTIES OR CONDITIONS WHETHER EXPRESS OR IMPLIED (E.G. WARRANTY OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT), AND

(C) DOES NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR FREE OF HARMFUL COMPONENTS, OR THAT THE CONTENT WILL BE SECURE OR NOT OTHERWISE LOST OR DAMAGED.

IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SERVICES OR WITH THESE TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE OF THE SERVICES.

Limitation of Liability

FREEDAO, AND ITS RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, ADVISORS, COUNCIL MEMBERS, INDEPENDENT CONTRACTORS, AFFILIATES AND AGENTS, SHALL HAVE NO LIABILITY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, COVER OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, REVENUE, GOODWILL, USE OR CONTENT) HOWEVER CAUSED, UNDER ANY THEORY OF LIABILITY, INCLUDING, WITHOUT LIMITATION, CONTRACT, TORT, BUSINESS INTERRUPTION, LOSS OF OPPORTUNITY, WARRANTY, NEGLIGENCE OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED AS TO THE POSSIBILITY OF SUCH DAMAGES.

THE AGGREGATE LIABILITY OF FREEDAO, AND ITS RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, ADVISORS, COUNCIL MEMBERS, INDEPENDENT CONTRACTORS, AFFILIATES AND AGENTS, RELATING TO THE SERVICES WILL BE LIMITED TO ONE HUNDRED UNITED STATES DOLLAR. THE LIMITATIONS AND EXCLUSIONS ALSO APPLY IF THIS REMEDY DOES NOT FULLY COMPENSATE YOU FOR ANY LOSSES OR FAILS INITS ESSENTIAL PURPOSE.

THE LIMITATION OR EXCLUSION OF INCIDENTAL, CONSEQUENTIAL OR OTHER DAMAGES WILL NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY APPLICABLE LAW.

IN COUNTRIES WHERE THE ABOVE TYPES OF EXCLUSIONS AND LIMITATIONS ARE NOT ALLOWED, WE ARE RESPONSIBLE TO YOU ONLY FOR LOSSES AND DAMAGES THAT ARE A REASONABLY FORESEEABLE RESULT OF OUR FAILURE TO USE REASONABLE SKILL AND CARE OR OUR BREACH OF THESE TERMS WITH YOU.

Force Majeure

FreeDAO cannot accept responsibility for any damage, loss, delay, or inconvenience caused by circumstances beyond our reasonable control. Such circumstances include but are not limited to war, threat of war, riots, civil strife, or terrorist activity, industrial disputes, natural or nuclear disasters, fire, airport closures, bad weather conditions, internet and electricity outages, interruption or failure of a utility service or the acts of any local or national government.

Indemnification

To the extent not prohibited by law, you agree to defend, indemnify and hold harmless FreeDAO, and its respective directors, officers, employees and agents from and against all third party claims, damages, costs, liabilities, judgments, awards, losses, costs, and expenses and fees arising out of or related to your use of the Services or your violation of these Terms, any applicable law or any rights of any third party.

Third-Party Websites and Services

The Services may contain links which direct you to websites and services provided by third parties. These links are provided only for your convenience, however certain such services might be needed for the Services. However, we have no control over those third-party websites and services, so we do not accept any responsibility for them or any liability for any loss or damage that may arise from your use of such services. You agree that accessing any of the third-party websites or services linked to or by the Services is done entirely at your own risk and subject to the terms and conditions for such websites and services.

Entire Agreement & Severability

If any provision of the Agreement is found to be invalid by a court or competent jurisdiction, that provision only will be limited to the minimum extent necessary and the remaining provisions will remain in full force and effect.

No Waiver

FreeDAO’s failure to enforce a provision of these Terms does not constitute a waiver of its right to do so in the future with respect to that provision, any other provision, or these Terms as a whole.

Assignment

You may not assign any of your rights, licenses, or obligations under these Terms without FreeDAO’s prior written consent. Any such attempt at assignment by you shall be void.

FreeDAO may assign its rights, licenses, and obligations under these Terms without limitation and without prior consent.

Changes to the Services

FreeDAO reserves the right to change, suspend, remove, discontinue or disable access to the Services or particular portions thereof, at any time and without notice. In no event will the Foundation be liable for the removal of or disabling of access to any portion or feature of the Services.

Governing Law & Jurisdiction

You understand and agree that all matters relating to the Services and these Terms shall be governed by the laws of Panama, to the exclusion of the rules on conflicts of laws. You and we both agree that any claim or dispute regarding these Terms or in relation to them shall (including for non-contractual disputes or claims and their interpretation) be subject to the exclusive jurisdiction of the Courts of Panama.

You agree that any dispute with us shall only be resolved on an individual basis and shall not be brought as a class action or any other representative proceeding.

In case of dispute, you shall maintain the confidentiality of any proceedings, including but not limited to, any and all information gathered, prepared, and presented for purposes of the litigation or related to the dispute(s) therein.

Current Version and Changes

We may make changes to the Services and these Terms from time to time, and any modifications, additions, or deletions will be effective immediately upon posting. Your continued use of the Services after any such changes, with or without having explicitly accepted the new Terms, shall constitute your acceptance of such changes.

You are responsible for viewing and verifying these Terms regularly in their current and in effect version from time to time.

This Privacy Policy governs the manner in which FreeDAO collects, uses, maintains and discloses information collected from Participants of the Services.

Collecting Personal Information

FreeDAO may collect personal identification information from users in a variety of ways, including, but not limited to, when Participants use the Services, subscribe to the newsletter, join our Telegram or Discord channels, become active participants in Freeos and the Freeos AirClaim, and in connection with other activities, services, features or resources made available by FreeDAO.

How we use Personal Information

FreeDAO may collect and use your personal information for the following purposes:

Customer service: The information provided helps us respond to customer service requests, provide services with the launch, and make sure customer service is more effective.
Service Improvement: We may use feedback provided to improve our websites, apps, and software.
Communication: We may use your contact details to communicate information to you about the launch of Freeos and the development of FreeDAO and its Services.
Unique Identification: Participation in FreeDAO is restricted to unique individuals. We might use your personal information to verify you don’t use multiple accounts. For this, we might also use publicly available information from the blockchain.

Third-Party Service Provider

The Services of the FreeDAO depend on third-party blockchain service providers. We have no control of or responsibility for the storage or use of information that any of these third-party providers may collect relating to you or your activities on their services.

How we protect your information

We adopt appropriate data collection, storage and processing practices and security measures to protect against unauthorized access, alteration, disclosure or destruction of your personal information, username, password, transaction information and data stored with FreeDAO and its Services. While we make every effort to ensure the integrity and security of our network and systems, we cannot guarantee that our security measures will prevent third-parties or “hackers” from illegally obtaining this information.

Disclosing personal information

We value each individual as precious. We will never trade, or rent our Participants’ personal identification information or non-personal meta data to others.

We will not disclose your information that is entrusted to us except where we are forced by a court order and only to the extent that we are forced to do so by law.

Google Analytics

We have installed Google Analytics on our site. Google collects non-personal identification information about users interacting with our Services. Non-personal identification information may include the browser name, the type of computer and technical information about users means of connection to our site, such as the operating system and the internet service providers utilized and other similar information.

We may at our sole discretion and at any time install other third-party software for analytics or other similar purposes that collect non-personal identification information about users interacting with our Services.
